Terms and Conditions

• Site: refers to kiwisubs.nz
• Visitor: refers to any person accessing kiwisubs.nz who does not have a registered account
• User: refers to any person registered on kiwisubs.nz
• Account: refers to the personal account assigned to each registered User of the Site
• Listing: refers to a subscription sharing plan created and published on the Site by a Host
• Host: refers to a User who has created a Listing and shares access to their subscription with Joiners
• Joiner: refers to a User who has subscribed to a Listing and pays a monthly fee to access the shared subscription
• Subscription Fee: refers to the monthly amount paid by a Joiner to access a shared subscription via the Site
• Service(s): refers to the services provided by KiwiSubs via the Site

All content published and made available on our Site is the property of KiwiSubs and the Site's creators. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

KiwiSubs is an independent platform and is not affiliated with, endorsed by, sponsored by, or officially connected with Spotify, Netflix, Disney, Apple, or any other third-party subscription service referenced on the Site. All third-party brand names, logos, and trademarks are the property of their respective owners and are referenced on this Site for descriptive purposes only.

The minimum age to use our Site is 18 years old. By using this Site, users agree that they are over 18 years old. We do not assume any legal responsibility for false statements about age.

As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes, and not to:

• Harass or mistreat other users of our Site
• Violate the rights of other users of our Site
• Violate the intellectual property rights of the Site owners or any third party to the Site
• Hack into the account of another user of the Site
• Act in any way that could be considered fraudulent
• Post any material that may be deemed inappropriate or offensive
• Share or resell subscription access outside the KiwiSubs platform
• Create more than one account on the Site
• Subscribe to a Listing that you have created as a Host

If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.

When you create an account on our Site, you agree to the following:

• You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account
• All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes
• Each person may only hold one account on the Site. Multiple accounts held by the same person may be suspended without notice

We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.

Users may post subscription sharing listings on our Site. By posting publicly on our Site, you agree not to act illegally or violate these Terms and Conditions.

Hosts agree not to create any Listing that:

• Is based on a free trial or promotional period
• Relates to a subscription service whose own terms and conditions do not permit sharing or family plan use
• Is created with the intent of commercial profit beyond the recovery of subscription costs

In addition, Listings related to any of the following are strictly prohibited:

• Weapons, drugs, or controlled substances
• Gambling
• Adult or pornographic content
• Content advocating or financing terrorism or violence
• Content promoting racial hatred or discrimination
• Any other activity that is illegal under New Zealand law

KiwiSubs reserves the right to suspend or remove any Listing at any time and for any reason, and to suspend the Host's account in the case of non-compliance with these Terms and Conditions. This does not give rise to any right to compensation.

As a Host, you are responsible for ensuring that the subscription you list permits sharing. You must provide accurate information about your plan and promptly provide access to Joiners once they are confirmed. You must not charge Joiners more than their proportional share of the subscription cost as set by KiwiSubs.

KiwiSubs reserves the right to request proof of your subscription (such as a receipt or invoice) at any time to verify that the Listing is accurate and that the subscription is legitimately shareable.

As a Joiner, you agree to use the shared subscription only for personal, non-commercial purposes and in accordance with the subscription provider's own terms of service. You must not share access credentials or the invite link with anyone outside the plan.

Joiners must not make any purchases, upgrades, or add-ons within the shared subscription that would result in additional charges to the Host's account. In the event of a breach of this obligation, the Joiner agrees to fully compensate the Host for any additional costs incurred.

Hosts who wish to receive payouts via KiwiSubs may be required to complete identity verification through our payment provider, Stripe. This is a legal requirement to prevent money laundering and fraud. KiwiSubs reserves the right to suspend payouts to any Host who has not completed the required verification process.

These Terms and Conditions govern the sale of services available on our Site. The following services are available: subscription sharing marketplace.

The services will be paid for in full when the services are ordered. All information, descriptions, or images that we provide about our services are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all services we provide. You agree to purchase services from our Site at your own risk.

We reserve the right to modify, reject or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid.

Our Site may offer goods and services from third parties. We cannot guarantee the quality or accuracy of goods and services made available by third parties on our Site.

Our Site allows users to list subscription sharing plans. We do not assume any responsibility for the accuracy or availability of listings posted by users. However, if we are made aware that a user is violating these Terms and Conditions, we reserve the right to suspend or prohibit the user from listing on our Site.

KiwiSubs is a marketplace platform only. We connect Hosts and Joiners but we are not a party to any agreement between them. KiwiSubs does not own, operate, or control any of the subscription services listed on the Site, and we are not responsible for how Hosts manage their subscriptions or how funds collected from Joiners are used. Any dispute about access, invite links, or subscription quality is between the Host and Joiner directly, though we will assist where we can. By using the Site, you acknowledge that KiwiSubs acts solely as an intermediary and accepts no liability for the actions or omissions of any Host or Joiner.

Your subscription automatically renews and you will be automatically billed until we receive notification that you want to cancel.

To cancel your subscription, users may do so at any time from their dashboard. Cancellations take effect at the end of the current billing period and no further charges will be made. No refunds are issued for the remaining days in a billing period.

We accept the following payment methods on our Site: Credit Card and Debit.

When you provide us with your payment information, you authorise our use of and access to the payment instrument you have chosen to use. By providing us with your payment information, you authorise us to charge the amount due to this payment instrument.

If we believe your payment has violated any law or these Terms and Conditions, we reserve the right to cancel or reverse your transaction.

If a Joiner's payment fails or is declined, their access to the shared subscription will be immediately suspended until payment is successfully processed. KiwiSubs will notify the Joiner of any payment failure so that they may provide an alternative payment method. Repeated payment failures may result in removal from the plan and termination of the Joiner's account.

All payments are non-refundable except where the Host fails to deliver the service as described, specifically: the invite link is invalid or expired, access to the subscription is interrupted, or the plan does not match its listing description. Refund requests must be submitted within 7 days to hello@kiwisubs.nz and will be assessed on a case-by-case basis. Any month started is fully due and no refund will be issued for a change of mind. To avoid being charged for the next month, you must cancel before the last day of the current billing period.

Where the Consumer Guarantees Act 1993, the Contract and Commercial Law Act 2017, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

KiwiSubs and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the Site.

Except where prohibited by law, by using this Site you indemnify and hold harmless KiwiSubs and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

These Terms and Conditions are governed by the laws of New Zealand.

If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.
